In the past, raising money in Australia by way of issuing shares in a company required a lot of regulation and the expense of producing an ASIC registered prospectus.

Recent reforms to the Corporations Law in 1997 under "CLERP" (Corporate Law Economic Reform Program) made life a little easier for SMEs (Small to Medium Enterprises). The Corporations Act 2001 made further refinements by way of the Class Order [CO 02/273] which replaced Class Order [CO 00/192]

In Summary, it is now possible for SMEs to raise up to $5 Million dollars without a registered prospectus providing they adhere to these strict guidelines provided by the exemptions to capital raising in accordance with the Corporations Act 2001 and that they utilise the services of a business and investment matching service such as Capitalised.com.
