   INVESTOR TYPES & SOLUTIONS         

In general, most investment opportunities structured by us will be targeted at "Sophisticated & or Professional Investors". Smaller Investors (Non Sophisticated Investors) may also have an opportunity to invest via the ASIC Class Order 02/273 provisions, however, they will be encouraged to conduct their own due diligence and warned of the associated risks that surround investment at these levels.

Generally Sophisticated and Professional Investors know what they are looking for and have developed a satisfactory degree of investment expertise.

  SOPHISTICATED INVESTORS 

 Sophisticated Investor: A Sophisticated Investor must have at least $2.5 million in net assets or have gross income of $250,000 for each of the past two financial years.

  PROFESSIONAL INVESTORS 

 Professional Investor: A Professional Investor is a person who controls at least $10 million for the purpose of investment in securities; or a regulated superannuation fund, an approved deposit fund, a pooled superannuation trust, or a public sector superannuation scheme; or a person who is a licensed or exempt dealer, acting as principal.

 S-708 INVESTOR CERTIFICATION PROCESS

Any offers made outside of the ASIC Class Order provisions to Sophisticated or Professional Investors will require certification under section 708 of the Corporations Act 2001 by their qualified accountant.

In targeting Sophisticated and Professional Investors, we can provide relevant documentation without having to lodge a full blown prospectus with ASIC.

Smaller, non sophisticated investors on the other hand need to be considered with extreme caution in respect to the law and in accordance with the strict guidelines laid out within Class Order [CO 02/273]

Class Order [CO 02/273] provides an exemption from the fundraising provisions of the Corporations Act 2001 for persons involved in making or calling attention to offers of securities through a business matching service.
